TERMS OF USE FOR ALL USERS

BY USING OUR WEBSITE YOU GIVE YOUR CONSENT TO THESE TERMS – PLEASE READ THEM CAREFULLY

1. Definition

In these Terms of Service our website https://roompire.com as well as Roompire are referred to as "we", "our", "us";

"Content" is any data uploaded to Roompire by any User (including but not limited to any videos, photos and images, audio, text and emojis, interactive features, as well as any other material);

"Creator", “business User” is a User who has created their Roompire Creator account to upload their Content on Roompire and share it with other Users;

"Fan", “consumer User” is a User who can view the Creator’s Content;

"Fan/Creator Transaction" is a transaction between a Fan and a Creator at Roompire within which a Fan is granted access to the Creator's Content by means of Subscription, pay-per-view or any other method defined.

"Fan Payment" is any payment performed by a Fan in favour of a Creator;

"Referring User" is any User involved in the Roompire Referral Program;

"Standard Contract between Fan and Creator" is the regulations that govern interactions between a Fan and a Creator, including Fan/Creator Transactions;

"Subscription" is a Fan's subscription to a Creator's account (under any conditions defined by a Creator);

"Terms of Service" is the legally binding agreement between a User and us;

2. About our company and how to contact us

Roompire is a product by Infoholders s.r.o. registered in Slovak Republic with company registration number 51161869 and office register address located at Magurská 37, Banská Bystrica, 974 11, Slovenská republika. Our VAT number is SK2120610932.

3. Changes to the Terms of Service and Roompire

These Terms of Service may be subject to changes without prior notice for the User under the following circumstances:

to reflect amendments and changes in laws and regulations that refer to Roompire or the services and programs that Roompire provides when these amendments and changes do not allow us to give the User reasonable notice;

to respond to any imminent threat regarding Roompire.

In case of any other changes that we may make regarding these Terms of Service we will give you timely notice via email or Roompire platform. Please note that you will agree to these changes if you continue using Roompire.

We may change, suspend or withdraw Roompire from time to time for any reason (including but not limited to its performance, functionality, security, practices or content). We do not guarantee that Roompire and services it renders will always be available. We will give you reasonable and timely notice on any changes that may affect you.

4. Registering with Roompire

To be able to use Roompire you must register at Roompire and create a personal account by providing a username, a valid email address and a unique password compliant with technical requirements of the Roompire platform.

To register as a User:

  1. you must be aged 18 or older and be able to confirm this;
  2. you must be permitted by the laws of the country/state you are located in to join Roompire and view the Content;
  3. you must provide any other information for verification as we require;
  4. you must accept the terms and policies of Roompire.

Default in meeting the above mentioned requirements means that you are not allowed to use Roompire.

5. Your commitments

Any registered User makes the following commitments to us:

  1. You ensure that all information submitted by you to us is accurate and complete;
  2. You make timely updates to your submitted information as soon as it changes;
  3. You give your consent to processing your information by us as defined in our Privacy Policy;
  4. You agree to receive notifications from us via email or Roompire account;
  5. You are responsible for keeping your account details secure and confidential. You will contact us immediately if you suspect that your account was accessed without your permission or your personal data was compromised;
  6. You are responsible for all activities performed with your account;
  7. If you register a new account, you confirm that your previous account with Roompire (if any) was not suspended for reasons that violate our terms or policies.
  8. You fully comply with all our terms and policies.

6. Our rights

  1. We permit to upload the Content provided by the Roompire verified users only. We may resort to any reasonable means to check and verify the identity, age and other personal information provided to us by Users in accordance with our Privacy Policy.
  2. We may and will monitor, moderate and check the Content prior to or after publication against compliance with our requirements, terms and policies or any applicable law. We may delete, deny to post or take any other actions regarding any Content for any or no reason in our sole discretion including if we have reasons to believe that the Content violates any part of this agreement (especially, the Acceptable Use Policy), creates an impression (by means of tags, titles, or in any other way) that the Content includes inappropriate materials, or may cause liability for Roompire.
  3. We may suspend or restrict access to your Content that presumably violates our Terms of Service or any applicable law for a period required for investigation of this violation. We may investigate any misuse of Roompire including in cooperation with relevant law enforcement bodies. We may disclose any information in our possession to those bodies if the investigation requires. You may request a review of our decision to suspend your Content by contacting us at support@roompire.com. You agree to provide us with all assistance and information required for this investigation. We bear no responsibility for any loss you may suffer from the suspension and investigation. We will give you a timely notice on any case of suspension of your Content via email or Roompire account.
  4. We reserve the right to cancel your agreement with us and suspend your access to Roompire for any reason at our sole discretion by giving you 30 days’ notification via email or Roompire account. We may also cancel your agreement with us or suspend access to your account without prior notice under the following circumstances:
    1. if we have reasons to believe that you have repeatedly violated our Terms of Service or our policies or if you threaten to do so.
    2. if your actions cause or may cause any loss for Roompire.
    All Fan Payments that may fall due to you or any Creator Earnings during the period of suspension will be withheld and suspended.
  5. Once your account is deleted, we may deal with your Content in any manner according to our terms and policies.
  6. We may change the third-party payment providers and we will notify you if we do so.
  7. Except for the Content (owned and licensed by Creators) all rights to Roompire including its content, functionality and source code are owned by our licensors and protected by trademarks and intellectual property laws.
  8. We are the exclusive owners of any anonymised data and may use these data for any purpose.

7. What we are not responsible for

  1. The Content posted at Roompire does not necessarily represent our views.
  2. We do not grant our Users any rights regarding the Content. All such rights are granted by Creators only.
  3. Although we take all possible measures to provide necessary security against viruses and malwares, we do not guarantee that the Content posted will be free of such.
  4. You give your consent that you take actions allowed for Users at Roompire solely at your own risk.
  5. We do not guarantee that the Creators or Referring Users shall earn a specific amount of money when using our services.
  6. All materials available for Users at Roompire is for general information only. We do not promise any other possible results from using our services.
  7. We do not guarantee that Roompire will be compatible with the devices you use. You agree that it is your responsibility to set up your devices as well as internet connection and software to be able to access and use Roompire.
  8. We bear no responsibility for lost or stolen accounts and relevant data as well as all activities that may occur by means of such accounts.
  9. You agree that we do not control and are not responsible for the actions other Users may take with your Content including actions that violate our terms and policies.

8. Intellectual property rights

  1. You confirm that you possess all intellectual property rights to your Content or all rights to your Content necessary to grant licences for your Content to us and other Users.
  2. You agree to grant us a licence to all your Content to process this Content in any manner allowed by any intellectual property right for any purpose which may relate to the operation of Roompire, including but not limited to reproduction, distribution, displaying, etc. The licence that you grant us is perpetual, non-exclusive, worldwide, royalty-free, sublicensable, assignable and transferable by us. This means that your licence will remain in effect after your agreement with us ends, that we do not have to pay for your licence, that we may give a sub-licence to your Content to any third party or that we may use your Content for any standard operation at Roompire. We do not sell your Content but we may sell or transfer the licence you granted us to a third party (for example, in the course of sale of the business).
  3. You grant us the limited right to send infringement notifications (including copyrights, trademarks and other intellectual property right signs) on your behalf to any other third party service that deals with the copies of your Content without your permission as well as to withdraw such infringement notifications if we consider it appropriate to do so. Although we are not obliged to take measures against infringements of your Content, you agree to give us all necessary rights and information for submitting such notifications on your behalf if circumstances require.
  4. You renounce any moral right under any applicable law to object to derogatory treatment of the Content you posted at Roompire. This renunciation is needed solely for allowing us to add watermarks, stickers or text to your Content when dealing with infringement and is not intended to affect in any way your intellectual property rights.

9. Deletion of account

Any User may delete their account in the account settings section of their Roompire account.

Deletion of a Fan’s account will occur within a reasonable period after the request has been placed.

Deletion of a Creator’s account will start after the last day of their Fan’s paid Subscription period.

Once the account was deleted, the User will no longer have access to their former account as well as their Content. You will receive a notification on successful deletion via email.

10. Responsibility for loss or damage

We do not limit in any way our liability to our consumer Users or business Users when it is unlawful to do so.

As a consumer User you agree that we (including our subsidiaries, employees, owners and other related parties) are not responsible for any loss or damage incurred to you that resulted from your use of Roompire.

As a business User you agree that we (including our subsidiaries, employees, owners and other related parties):

  1. are not liable for any imposed conditions and terms that may possibly apply to Roompire and any content unless otherwise stated in these Terms of Service;
  2. are not responsible for any direct or indirect loss or damage incurred to you unless it was a foreseeable and obvious outcome of our violation of these Terms of Service or our default in use of reasonable skill and care;
  3. are not responsible for any loss or damage incurred by wilful or unwilful negligence or breach of statutory duty that resulted from your use or inability to use Roompire and any content on it;
  4. are not liable to you for any loss or damage caused by a virus, malware, hacker attack or any other technologically caused activity or material during your use of Roompire and all content on it;
  5. are not liable to you for any kind of distribution or copyright infringement of your Content;
  6. are not liable to you for any disclosure of your personal information without your permission if any;
  7. are not liable to you for any default or delay in compliance by us with these Terms of Service out of our control. In this case we will contact you in a timely manner and take measures to minimise the impact of such default or delay.

11. General provisions

You agree that:

  1. We reserve any right that was not expressly granted to you in our terms or policies.
  2. All aspects of your agreement with us are enforceable except for those that are not. No rights are granted to you except for those that are expressly granted to you in these Terms of Service.
  3. Your agreement with us does not grant any rights to any third party unless otherwise is stated in these Terms of Service.
  4. You cannot transfer your rights or obligations without our prior written consent.
  5. We may transfer or delegate our rights or obligations to others (including but not limited to business sale, etc.)
  6. These Terms of Service represent the agreement between you and us regarding your use of Roompire and is in priority over any other agreement between you and us.

12. Dispute resolution

The agreement between the User and us is governed by Slovak Republic law. The consumer Users (Fans) and business Users (Creators) may lodge all claims arising from their use of Roompire in the competent courts of the Slovak Republic.

BY USING OUR WEBSITE YOU GIVE YOUR CONSENT TO THESE TERMS – PLEASE READ THEM CAREFULLY

1. Introduction

These additional Terms of Use for Fans are applied to you if you use Roompire as a consumer User (a Fan). These Terms of Use for Fans constitute a part of your agreement with us.

2. Definition

These Terms of Use for Fans apply the same terms with the same meaning as the Terms of Use for all Users do. Additional terms applied here:

“VAT” is added tax and any other tax imposed in addition to or in substitution for it and any equivalent or similar governmental, state, federal, provincial, or municipal indirect tax, charge, duty, impost, or levy in any other jurisdiction.

“Tax” is all kinds of tax and charges (including but not limited to all governmental, federal, local and municipal charges and contributions).

3. Your commitments to us

You ensure that:

  1. you are aged 18 or older;
  2. you will provide us with all information necessary for verification;
  3. you are able to make payment for the Content provided at Roompire which you wish to consume;

4. Content

In addition to other terms, the following terms apply to each component of the Content you make available at Roompire.

You ensure that:

  1. you accept the terms and policies of Roompire;
  2. your Content complies fully with these Terms of Service;
  3. you possess all necessary rights or licences to your Content;
  4. you possess all necessary rights or licences to any third party materials in your Content if any;
  5. you are liable for any loss or damage incurred to us if any of the above mentioned warranties are untrue;
  6. you are aware that some Content on Roompire may contain adult material and you take it into consideration before using Roompire. We are not responsible for any loss or damage you may suffer from using such content.

5. Subscriptions and purchases

These terms are applied to any Fan/Creator Transaction:

  1. Each Fan/Creator Transaction is a contract between a Fan and Creator governed by the Standard Contract between Fan and Creator. Roompire is not a party to this contract and acts as an intermediary and platform provider only.
  2. Creators are solely responsible for defining the pricing for Fan/Creator Transactions as well as the relevant Content.
  3. Fan Payments are exclusive of VAT, which shall be added at the current rate.
  4. To initiate a Fan/Creator Transaction with a Creator you need to add your payment card to your account and press the Subscribe button on the Creator’s account.
  5. You grant us and our subsidiaries the right to transfer your payment card details to our third party payment providers for processing of Fan Payments. We are not responsible for controlling currency exchange rates as well as any charges or fees imposed by your payment card bank or provider.
  6. The payment provider may take recurring payments from your payment card if you have purchased a Subscription or take immediate payments (other than Subscription, if any) and you give your consent to any of these payments.
  7. All Fan’s Subscriptions to Creators will get automatically renewed at the end of subscription period unless your payment card used for Fan Payments was declined, subscription price was increased or you have switched off the "Auto-Renew" function at the Creator’s account.
  8. After you cancel your Subscription you will be able to access the Creator’s Content until the end of your current Subscription period. After the end of this period will no longer be able to access this Content.
  9. You agree not to lodge unjustified refund requests regarding any Fan/Creator Transaction. If any of such requests are considered by us as unjustified, we reserve the right to block or delete your account.
  10. In case of suspension of your account for any reason in accordance with these Terms of Service all Fan Payments will be suspended for the period of suspension of your account.

TERMS OF USE FOR CREATORS

BY USING OUR WEBSITE YOU GIVE YOUR CONSENT TO THESE TERMS – PLEASE READ THEM CAREFULLY

1. Introduction

These additional Terms of Use for Creators are applied to you if you use Roompire as a business User (a Creator). These Terms of Use for Creators constitute a part of your agreement with us.

2. Definition

These Terms of Use for Fans apply the same terms with the same meaning as the Terms of Use for all Users do. Additional terms applied here are:

“VAT” is added tax and any other tax imposed in addition to or in substitution for it and any equivalent or similar governmental, state, federal, provincial, or municipal indirect tax, charge, duty, impost, or levy in any other jurisdiction.

“Tax” is all kinds of tax and charges (including but not limited to all governmental, federal, local and municipal charges and contributions).

3. Fees charged

We charge a fee of 20%-30% on all Fan Payments made to a Creator (excluding any VAT) with this fee, including our support and provision of Roompire services. The remaining 70%-80% of the Fan Payout (excluding any VAT) is paid to the Creator ("Creator Income").

Base commission 30%. If you use your source of fans and it prevails, then the commission is down to 20%.

4. Setting up Creator’s account

To set up your account at Roompire as a Creator you need:

  1. to upload to your User account a valid ID document and photos of you that meet the requirements described here;
  2. to add payment details to your User account;
  3. to select one of the payment methods available at Roompire for transfer of Creator Earnings to you;
  4. to submit all necessary information (including identity verification) if we require to do so;
  5. to accept the terms and policies of Roompire.

After your Creator’s account was set up, you may set the subscription price for your Fans if you wish to and upload your Content to your account.

In case you have lost access to your account, you may restore it via email. If you cannot use your email for restoring access to your account, we may ask you to provide additional information to verify your identity.

Only individuals can be Creators and thus be bound by these Terms of Service. Any assistance from other third parties does not affect your personal responsibility as a Creator.

5. Fan/Creator Transactions

  1. Each Fan/Creator Transaction is a contract between a Fan and Creator governed by the Standard Contract between Fan and Creator. Roompire is not a party to this contract and acts as an intermediary and platform provider only.
  2. Fan Payments are exclusive of VAT.
  3. As soon as you receive a confirmation of the Fan/Creator Transaction, you must fulfil your part of the transaction (for example, make available the Content that is relevant to the specific Fan/Creator Transaction for the Fan). If you fail to fulfil your obligations by the Fan/Creator Transaction, you are responsible for any loss or damage we may suffer in this case.

6. Content

In addition to other terms, the following terms apply to each component of the Content you make available at Roompire.

  1. You grant your Fans a licence to access your Content for their legal personal use.
  2. You ensure that for the Content you make available at Roompire:
    1. every item of the Content is fully compliant with these Terms of Service;
    2. you possess all necessary rights for the Content that you own or have necessary licences to provide the Content (including the Content with any third party materials) for other Users;
    3. all information regarding the Content is of sufficient quality and meets the statements made by you (including price, description, advertising as well as other data and circumstances);
    4. every item of the Content can be used by the Fan for the purposes defined in our terms and policies.
  3. You agree that you are responsible for any loss or damage we may suffer from any of your default in compliance with any of these terms.
  4. You agree to act as the custodian of the Content you make available on Roompire.

7. Advertising

  1. If the Content you make available on Roompire is designed for direct or indirect promotion or advertising of any third-party’s services or goods or for self-promotion, you agree to comply with the requirements defined below. You must declare that the Content you make available on Roompire contains advertisements by adding the signifier #ad.
  2. You ensure that the advertising Content you make available on Roompire does not:
    1. humiliates human dignity;
    2. promotes discrimination based on sex, sexual orientation, race, nationality, religion, belief, disability, age or any other ground;
    3. promotes prejudicial behaviour regarding environment, health or safety;
    4. encourages or causes any kind of harmful behaviour (including physical, mental or moral detriment);
    5. directly or indirectly encourages individuals for purchasing goods or services in view of their credulity, lack of awareness or inexperience or if these goods or services exploit trust of any person;
    6. advertises tobacco or electronic cigarette products (including all related goods or services) as well as illegal drugs or medicines, advertises alcohol to minors or promotes alcohol abuse;
    7. advertises or promotes illegal gambling.

8. Co-authored Content

  1. If the Content you post on Roompire includes any other individual ("Co-Authored Content"), you ensure that each of these individuals is a Creator on Roompire or an adult who has given their written consent to the uploading of the Content they willingly take part in and you are able to provide all necessary information (including proofs of written consent, identity and age verification) on these individuals if we require to do so.
  2. You are responsible for gaining all licences or consents required for uploading or posting the Co-Authored Content.
  3. You agree to tag the Roompire account of any individual appearing in your Co-Authored Content if any;
  4. As the Creator Earnings are only credited to the account that uploaded the Co-Authored Content, you agree to be responsible for dividing any revenue you may obtain from the Co-Authored Content with the individuals that appear in this Content. Any of such agreement between you and the individuals participating in the Co-Authored Content is independent and out of our responsibility. If you appear in any Co-Authored Content created and uploaded by any other Creator on Roompire you agree that you are not entitled to any part of the Creator Earnings that may be obtained from this Content.
  5. We may require any detailed information on every individual appearing in the Co-Authored Content you upload. Default in providing this information may result in deletion of this Co-Authored Content, as well as withholding of any part of Creator Earnings or deletion or suspension of your account.
  6. You agree not to make any claims against us arising from the Co-Authored Content. All claims arising from the Co-Authored Content shall be made against the Creator or individuals who created and/or participated in the Co-Authored Content. However, any individual depicted in the Co-Authored Content may lodge a complaint to us if they wish for this Co-Authored Content to be removed from our platform. These complaints will be reviewed in a timely manner in accordance with our Complaints Policy.

9. Payouts and taxes

  1. All Fan Payments will be processed by our third-party payment provider.
  2. All Creator Earnings will be updated in your Roompire account and become available for withdrawal in a timely manner.
  3. We and our subsidiaries are not responsible for paying any charges set by your bank or payment card provider.
  4. We do not store any payment data disclosed by you except for payouts that involve direct bank transfer.
  5. In case of any reasonable and justifiable request for refund or chargeback made by a Fan to their payment card provider, we may initiate an investigation and deduct from your account the amount equal to the Creator Earnings earned by you on the charged-back or refunded amount.
  6. We may withhold any part of the Creator Earnings you are eligible for but not have yet received:
    1. if we have reasons to believe that you have violated any part of these Terms of Service;
    2. if your activity threatens to violate any part of these Terms of Service;
    3. if we have reasons to believe that your Creator Earnings is a result of unlawful activity;
    4. you have allowed a lien placed on your Creator Earnings.
    We may withhold your Creator Earnings for any of the above mentioned reasons for a period necessary for investigation of these issues. We have no responsibility to you if we withhold your Creator Earnings for any of the above mentioned reasons. If our investigation shows that Creator Earnings are to be forfeited, we will take all necessary measures to pay back all Fan Payments that have comprised the forfeited Creator Earnings.
  7. We recommend for all Creators to receive professional advice regarding their compliance with their local tax and VAT regulations.
  8. As a Creator you ensure that you timely report to the relevant tax authority on any payments to you within the Roompire system.
  9. You ensure that you comply with all local tax regulations and will notify us in a timely manner in case of any non-compliance with such if any. You agree to provide us with all necessary information on such non-compliance if we require to do so.
  10. You agree to be solely responsible for all tax issues you may have.

ACCEPTABLE USE POLICY

BY USING OUR WEBSITE YOU GIVE YOUR CONSENT TO THIS POLICY – PLEASE READ IT CAREFULLY

This Policy is applied to you if you use Roompire and all Content on it and constitutes a part of your agreement with us. This Policy defines what is and what is not allowed on Roompire and applies the same terms used in our Terms of Use for all Users.

  1. Roompire and all Content on it are for your personal use and lawful purposes only. Do not share or transfer in any way your account or the Content you have obtained access to on Roompire to anyone else.
  2. Do not upload or publish on Roompire the Content of illegal, discriminatory, hateful, fraudulent, threatening character or the Content which promotes or encourages any illegal or detrimental activity.
  3. Do not use Roompire in a manner which may exploit or harm any individual under 18 years old.
  4. Do not upload, publish or otherwise make available the Content on Roompire which:
    1. includes, promotes or otherwise refers to:
      • any individual under 18 years old or any other individual who has not provided you with written proof that they are at least 18 years old and given you prior written consent to appear in your Content;
      • weapons, firearms or any other goods that are subject to any restrictions;
      • drugs or illegal substances;
      • any kind of harm infliction (including but not limited to self-harm, suicide, violence, torture, rape, abuse, sexual assault, etc.);
      • any kind of sexual deviation (including but not limited to incest, bestiality, necrophilia, etc.);
      • urine or excrement-related material;
      • any sexually explicit content with any individual who has not given prior consent on this content to be captured or posted including unsolicited or fake sexual content and language that in any way objectifies another individual;
      • prostitution, escort services, sex trafficking, child exploitation;
      • hate speech (which is the Content intended to humiliate, vilify, attack, threaten, foster hatred, violence or fear of any individual or group of individuals based of race, nationality, religion, belief, sex, gender identity, sexual orientation, age, disability, any social status or any other protected characteristic);
      • anyone’s personal or confidential information without prior written consent from that person;
      • public nudity or sexual activities if recorded and/or broadcast in the location where it is illegal;
    2. gives an impression that the Content is approved in any way by us or any other third party;
    3. causes or may cause offence, inconvenience or embarrassment for anyone else;
    4. is used for extortion;
    5. includes third-party commercial activities, promotions or product placement without our prior written consent.
  5. Do not use Roompire for any kind of abuse, stalking, bullying, intimidating or deceptive activity.
  6. Do not do anything that violates our or anyone else’s rights including intellectual property rights.
  7. Do not impersonate us or any relevant person or third party or state any kind of affiliation between you and us or any relevant person or third party.
  8. Do not provide false information when registering your account with us.
  9. Do not upload the Content which may be regarded as spam, misleading or inauthentic material or may include viruses, malwares or any other technologically malicious material.
  10. Do not stream or otherwise broadcast any pre-recorded material.
  11. Do not use any method which communicates anything that may violate this Policy.
  12. Do not reproduce, distribute, transmit or otherwise use any Content except as allowed by the Terms of Service.
  13. Do not attempt to derive or discover the Roompire source code or use any program or tool to access Roompire or any servers or systems associated with Roompire.
  14. Do not use any name, logo, designs or materials associated with Roompire unless otherwise is allowed in these Terms of Service.
  15. Violation of this Policy may result in suspension or deletion of your account and suspension of your earnings.

REFERRAL PROGRAM

It is unlawful for us or for any party in the Roompire Referral Program to encourage anyone to make payments by promising benefits from getting others to join the Roompire Referral Program. Do not be misled by promises of easy and huge earnings from participating in the Referral Program.

1. Introduction

These Referral Program Terms may additionally apply to you if you participate in the Roompire Referral Program and constitute a part of your agreement with us.

2. Definition

These Referral Program Terms apply the terms used in the Terms of Use for all Users. Additional terms applied here are:

"Referring User" is also referred to as "you" or "your" in these Referral Program Terms;

"Referred Creator" is the individual who becomes a Creator at Roompire via the Referring User's referral link.

3. About Roompire Referral Program

Roompire has launched the Referral Program to help our Users introduce and present our platform for individuals who would like to become Creators at Roompire.

4. Rules of the Roompire Referral Program

  1. Participating in the Roompire Referral Program is allowed for Roompire Users only. If the User’s account was suspended or deleted, this User is not allowed to take part in the Roompire Referral Program.
  2. To receive referral payments within the Roompire Referral Program you need to add your payment method details in the settings of your User account.
  3. Every Referring User has a unique referral link shareable with others. You must not impersonate us or any party associated with us when sharing your referral link and disclose the ways you share your referral link if we require to do so.
  4. The Referred Creator must follow your referral link and create an account with Roompire in the same browser that they used to follow your referral link. If anyone registers with Roompire in a way different from using your referral link, this account will not be linked to you and you will not receive any referral payments from it. If the Referred Creator already has or had an account with Roompire, they will not be participating in the Referral Program and you will not receive any referral payments. If the Referred Creator sets up several accounts, referral payments will be made to you from the first Referred Creator’s account only.
  5. If the Referred Creator’s account is owned or otherwise controlled by you, no referral payments will be made to you from this account. You agree to provide any information necessary for us to determine that if we require it from you.
  6. As a Referring User you agree not to give false impressions about Roompire including the services and content Roompire provides or suggestions that participating in the Roompire Referral Program may bring specific benefits to the Referred Creator.

5. Referral payments

  1. After the Referred Creator was registered with Roompire in accordance with the rules of the Roompire Referral Program, the Referring User will receive a referral payment which makes 5% of Fan Payments generated by the Referred Creator in the 12 months after the date or registering of the Referred Creator and does not exceed US$30,000 in total. Following this 12-months period no referral payments will be made to the Referring User from that Referred Creator.
  2. All referral payments are inclusive of any VAT unless otherwise defined in the Terms of Use for Creators.
  3. You must select one of the available payout methods in your account settings to be able to receive referral payments. The referral payments are made to you on a monthly basis.
  4. We have the following rights regarding the Referral Program:
    1. to recover sums that have been wrongly paid to the User;
    2. to require any information necessary for verification of individuals and payments made to them;
    3. to change any aspect of or abolish the Roompire Referral Program at any time which however will not affect any referral payments already made to the Referring User.
  5. We may withhold any part of the referral payments:
    1. if we have reasons to believe that you violated or threaten to violate any part of the Terms of Service;
    2. if we have reasons to believe that any part of the referral payments due to you was involved in unlawful activity.
    3. for a period necessary for investigation of any alleged violation or unlawful activity.
    4. if you have allowed a lien placed on the referral payments due to you.
  6. We have no responsibility to you if we withhold the referral payments due to you for any of the above mentioned reasons.

COMPLAINTS POLICY

1. Introduction

This document defines our complaints policy and comprises a part of the User’s agreement with us.

2. Definition

This Complaints Policy applies the terms used in the Terms of Use for all Users.

The Slovak Republic law governs this agreement and will apply to any complaint or claim that may arise or relate to this agreement. You will also be able to rely on mandatory law and regulations of the country where you live.

3. How to lodge a complaint

If you have a complaint regarding Roompire (including the Content or any User) please send your complaint to support@roompire.com including your name, contact details, description of your complaint and the link to the Content related to your complaint if any.

4. Complaint resolution

For processing your complaint:

  1. we take all necessary steps to initiate investigation of your complaint within a time period appropriate to the nature of your complaint;
  2. if we require additional information or documents from you, we will contact you in a timely manner;
  3. we may resort to the courts of the Slovak Republic or any relevant law enforcement agencies if our investigation requires to do so;
  4. we take all necessary measures to reasonably respond to your complaint (including removal of the Content, suspension or termination of related User account, etc.) if our investigation proved that your complaint was justifiable;
  5. we will inform you on any result and decision of our investigation via e-mail.

5. Claims

If you are unsatisfied with the results of our processing of your complaint or if you believe that the matter of your complaint requires more investigation, you may bring a claim to the courts of the Slovak Republic.
